Acceptance of Terms

Welcome to Ideofox LLC. By accessing or using our website and applications (including Fluditi and Growi), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our services.

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms and Conditions on this page and updating the "Last updated" date. Your continued use of the services after such changes constitutes your acceptance of the new terms.

Use of the Service

Our services are intended for personal and commercial use in accordance with these terms. You agree to use our services only for lawful purposes and in a way that does not infringe the rights of others or restrict or inhibit anyone else's use and enjoyment of the services.

You must not:

• Use our services in any way that violates any applicable federal, state, local, or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services.
• Attempt to gain unauthorized access to any portion of the services or any other systems or networks connected to the services.
• Use any automated system, including robots, spiders, or scrapers, to access the services without our express written permission.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Use the services to transmit, or procure the sending of, any advertising or promotional material without our prior written consent.

Accounts and Security

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to disable any user account at any time, for any reason, including if we believe you have violated these Terms.

Intellectual Property

The services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Ideofox LLC and its licensors. The services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

You retain all rights to the content you create and store within our applications. By using our services, you grant us a license to use, store, and process your content solely for the purpose of providing and improving our services.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Subscription and Payments

Some parts of our services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (such as monthly or annually). Billing cycles are set based on the type of subscription plan you select when purchasing a subscription.

At the end of each billing cycle, your subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings or by contacting our customer support team.

A valid payment method, including credit card or other accepted payment method, is required to process the payment for your subscription. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the services.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ideofox LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the services.

In no event shall our liability exceed the amount paid by you, if any, for accessing our services during the twelve (12) months immediately preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.

End User License Agreement (EULA)

For users who download our applications (Growi or Fluditi) from the Apple App Store, the relationship between the end user and Ideofox is additionally governed by Apple's Standard End User License Agreement (EULA), included within the Apple Media Services Terms and Conditions.

In case of conflict between our Terms and Apple's EULA, the Apple-required provisions prevail. You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the applications, and that Apple has the right to enforce these Terms against you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between us regarding our services and supersede and replace any prior agreements we might have between us regarding the services.
